Authorize County Counsel to execute a First Amendment to the Legal Services Agreement with Best Best & Krieger LLP, for specialized work involving public employee tax, compensation and benefits matters, and, extending the term for three years and a not to exceed amount of $50,000/year (for a total of $150,000) (4/5th Vote Required)

Executive Summary:

Best Best & Krieger LLP, has a current legal services agreement with the Sonoma County Counsel’s Office for specialized expertise in matters relating to involving public employee tax, compensation and benefits matters. The current contract is for a three-year term and a not to exceed amount of $50,000 per year and will expire on March 26, 2022.

 

This action would amend the existing legal services agreement by extending the term of the contract for another three-year term and a not to exceed amount of $50,000 per year (for a total of $300,000).

 

Discussion:

County Counsel previously executed a Legal Services Agreement (“LSA”) with Best Best & Krieger LLP, on March 26, 2019, for specialized expertise in matters relating to public employee tax, compensation and benefits matters, for a term of three years and a not to exceed amount of $50,000 per year.

 

County Counsel has determined that specialized assistance involving public employee tax, compensation and benefits matters is required for as-needed support. Furthermore, due to current workload, County Counsel does not have the required capacity needed to meet the demands of necessary projects.

 

It is recommended that your Board extend the contract for an additional three years, to March 27, 2025, and keep the not to exceed amount at $50,000/year, for a total additional amount of $150,000, through a First Amendment to Legal Services Agreement.

 

The contract extension to March 27, 2025 and the amount of $50,000 per year will provide sufficient funding for Best Best & Krieger LLP to complete the specialized work on public employee tax, compensation and benefits matters.

Current and future costs associated with this agreement are included in the Auditor-Controller-Treasurer-Tax Collector’s Payroll division budget. Appropriations are currently included in the FY 21-22 budget and will be requested for future years as part of normal budget process.
