In an ongoing effort to protect and maintain a clean, uninterrupted water supply:
Authorize Sonoma County Water Agency’s General Manager to execute the First Amended Agreement for As-Needed Dive Services for Water Supply and Transmission Facilities with Underwater Resources, Inc. The amended agreement increases the amount by $50,000 and extends the agreement term by one year for a new not-to-exceed agreement total of $200,000 and end date of December 31, 2021.

This item requests approval to amend an agreement with Underwater Resources, Inc. (Service Provider) for as-needed dive services for water system facilities. These as-needed services include, but are not limited to, cleaning, inspection, minor maintenance, videoing, equipment installation, and flow monitoring, and are essential to the maintenance of the water system facilities.

HISTORY OF ITEM/BACKGROUND
Sonoma County Water Agency (Sonoma Water) provides wholesale water supply to approximately 600,000 people in Marin and Sonoma counties in California. To provide this service, Sonoma Water operates a large system of water facilities which require dive services on an as-needed basis, including cleaning, inspection, minor maintenance, video, equipment installation, and flow monitoring.
Sonoma Water and Underwater Resources, Inc., entered into an agreement for as-needed dive services for water supply and transmission facilities, dated February 27, 2018, in the amount of $150,000.
SELECTION PROCESS
On April 17, 2017, Sonoma Water sent a Request for Statements of Qualifications to the following four firms:
1. Aqua-Tech Company, Carmichael, California
2. Inland Potable Services, Inc., Centennial, Colorado
3. LiquiVision Technology, Klamath Falls, Oregon
4. Potable Divers, Inc., Eagle Mountain, Utah
The Request for Statements of Qualifications was also posted to Sonoma Water’s website and sent to the County Purchasing Department for further distribution.
The following four firms submitted Statements of Qualifications:
1. Apex Diving and Marine Services, Inc., Winnetka, California
2. Aqua-Tech Company, Carmichael, California
3. MM Diving, Inc., Kelseyville, California
4. Underwater Resources, Inc., San Leandro, California
Sonoma Water used the following criteria to evaluate each firm: thoroughness of Statement of Qualifications, professional qualifications and demonstrated ability to do the work, and exceptions to standard terms.
Service Provider was selected to perform the work because the Service Provider has significant experience with similar systems and services. Additionally, Service Provider is located geographically within an acceptable timeframe to be able to respond to emergencies.
TO BE PERFORMED
Under the proposed amended agreement, the Service Provider will continue to provide as-needed dive services for Sonoma Water facilities. The additional time and funding are needed to allow Sonoma Water uninterrupted access to Service Provider for unplanned dive services necessary to maintain its water system facilities.
The additional cost is $50,000, for a new not-to-exceed agreement total of $200,000. The new end date is December 31, 2021.

Narrative Explanation of Fiscal Impacts:
