Executive Summary:
This item requests the Board adopt a Resolution to amend the establishment of the Geyserville - Alexander Valley Municipal Advisory Council (MAC), which was created in 2018, for the purpose of updating the quorum to align with the increased membership, clarifying membership term lengths, establishing a process for if a represented organization dissolves, clarifying Chair/Vice Chair election timing, clarifying communication processes, adding a map of established boundaries, and other minor corrections.
Discussion:
The Geyserville - Alexander Valley MAC (Council) was created on December 11, 2018, through the adoption of Resolution 18-0509 by the Board of Supervisors, with the role of the MAC being to represent the best interests of the unincorporated community while acting as a bridge for communication between the County and residents, businesses, and the public on health, safety, welfare, and quality of life issues affecting the Geyserville area.
Municipal Advisory Councils are established under the California Code, Government Code § 31010, board of supervisors of any county may by resolution establish and provide funds for the operation of a municipal advisory council for any unincorporated area. Given the Resolution is under your Board of Supervisors it may be amended with your approval. The Bylaws may also be repealed and replaced by a vote of the Board of Supervisors.
The Council is requesting that the Board of Supervisors approve an amendment to the establishment of the Geyserville - Alexander Valley MAC to update the MAC’s Bylaws as follows:
Quorum
The Council recommends changing its quorum to five members (or four members plus an alternate) in Article IV - Meetings, Section 4 to align with its previously increased membership from seven to nine members.
Membership
The Council recommends removing Article III - Membership, Section 4 about Initial Terms. This section was not properly adhered to when the MAC was created, so the Classes A and B were never established. The classes established as: class A four members initial membership term of three years and Class three members. Class A shall have an initial membership term of three years. Class B initial membership term of two years. This section also wasn’t properly labeled “Initial Terms” when it was copied from bylaws of another MAC that has two-year terms, so its mention of two years created confusion.
The Council recommends adding to Article III - Membership, a new Section 7 about new membership organizations so that in the event an organization with representation on the MAC dissolves, the District 4 Supervisor can select a new organization that may nominate a representative.

The Council recommends adding a map of established boundaries under Article II - Authority and Purpose, Section 3.
Elections
The Council recommends clarifying that annual election of the Chair and Vice Chair shall take place in December.
Communications
The Council recommends adding language to clarify that the MAC Chair can communicate with the staff in the District 4 Supervisor’s Office in addition to the Supervisor, and not directly with staff members of other County departments.
Other
The Council recommends adding language to clarify the District 4 Supervisor instead of District Supervisor, referring to organizations rather than groups represented on the MAC, updating the Northern Sonoma County Fire Protection District name within membership Article III from Geyserville Fire Protection District, and improvements in formatting, punctuation, and capitalization.
