A) Authorize Sonoma County Water Agency’s General Manager to execute the First Amended and Restated Agreement for As-Needed Corrosion Protection Engineering Services with Corrpro Companies, Inc., in a form approved by County Counsel. The amended agreement increases the amount by $200,000 and extends the agreement term by five years for a new not-to-exceed agreement total of $530,000 and end date of December 31, 2027.
B) Adopt a Resolution Authorizing Adjustment to the Board Adopted Budget for Fiscal Year 2022-2023 for the Water Transmission O&M Fund in the amount of $200,000 for As-Needed Corrosion Protection Engineering Services.

Executive Summary:
Sonoma County Water Agency (Sonoma Water) delivers potable water to over 600,000 people using approximately 80 miles of buried pipeline and 18 water storage tanks. This water infrastructure is susceptible to corrosion. Sonoma Water is in the process of replacing the existing galvanic corrosion protection systems with impressed current cathodic protection systems. Sonoma Water requires continued as-needed corrosion protection engineering services to assist with design, development, technical support during construction, and implementation of these systems including related testing, to cost effectively extend the useful life of its infrastructure.
Discussion:
HISTORY OF ITEM/BACKGROUND
Sonoma Water's seven pipeline aqueducts were installed as early as 1968 to provide a reliable supply of naturally filtered drinking water from the Russian River water supply system to residents in Sonoma County and portions of Marin County. The aqueduct's pipelines range in size from 12-inch to 54-inches and are comprised of cement mortar-lined, steel-coated pipe. The pipeline has been protected from corrosion using a galvanic cathodic protection system consisting of magnesium sacrificial anodes connected directly to the pipeline.
Sonoma Water has been conducting cathodic protection surveys on the aqueducts since 2002. The protection criteria used to determine whether a structure is adequately protected from corrosion is based on the National Association of Corrosion Engineers Standards. The surveys indicate there has been a continued consumption of the anodes with a directly-correlated reduction in protection.
Sonoma Water is in the process of replacing the existing galvanic cathodic protection systems with an impressed current cathodic protection system. This type of system works under the same principles as a galvanic system but is more cost-effective to install and maintain and has a longer useful life. Therefore, Sonoma Water desires to employ the services of a consultant to support ongoing improvements to the aqueduct's cathodic protection systems. The purpose of this amendment is to amend the agreement to provide additional time and funds, to allow for additional work.
The original agreement enabled the completion of the impressed current system designs on two tanks; evaluation of corrosion risk along the aqueduct; proposal of design solutions; assessment and redesign of a cathodic protection system for a section of the pipeline that experienced severe corrosion; and finalized the ongoing assessment activities on existing aqueducts.
Sonoma Water and Corrpro Companies, Inc. (Consultant) entered into an agreement for as-needed corrosion protection engineering services, dated October 8, 2019, in the amount of $330,000.
SELECTION PROCESS
Consultant was selected from a list of qualified consultants developed from a prior competitive selection process. Attached is a memo that explains the previous competitive selection process.
SERVICES TO BE PERFORMED
Under the proposed amended agreement, Consultant will provide as-needed corrosion protection engineering services, training for Sonoma Water staff on use and maintenance of cathodic protection systems, and related testing services for Sonoma Water potable water distribution infrastructure.
The additional cost is $200,000, for a new not-to-exceed agreement total of $530,000. The new end date is December 31, 2027. The additional funds and time extension will allow Sonoma Water to continue evaluating and developing designs that improve the state of the cathodic protection systems.

The As-Needed Corrosion Protection Engineering Services Agreement allows Sonoma Water to invest in making existing infrastructure resilient and reliable, ensure we have continuous operability with the water transmission system, and aligns with the Boards strategic priorities. Evaluation of existing infrastructure and design development are critical steps to ensure Sonoma Water’s infrastructure is protected from corrosion. This agreement facilitates the evaluation and design of the corrosion protection elements.

Narrative Explanation of Fiscal Impacts:
Additional appropriations in the amount of $200,000 from the Water Transmission O&M Fund are required to process this expense and funded with water rates. With Board approval, unspent appropriations budgeted in FY 2021/2022 and rolled over to FY 2022/2023 will be made in the Water Transmission O&M Fund pursuant to the attached budgetary resolution.
