A) Authorize Sonoma County Water Agency’s General Manager to execute the First Amended and Restated Agreement for Engineering and Design Services for Structural and Seismic Platform Design for Penngrove Lift Station Flood Resiliency Project with Beyaz & Patel, Inc., to provide engineering and design services. The amended agreement increases the amount by $17,502 for a wet well roof assessment, modification of platform and equipment pad support piles and materials of construction, and development of conformed drawings, and extends the agreement term by one year for a new not-to-exceed agreement total of $65,541 and end date of August 31, 2022.
B) Authorize Sonoma County Water Agency’s General Manager to amend the agreement to extend the term, make modifications to the scope of work, and increase costs provided amendments do not cumulatively increase the total cost to Sonoma County Water Agency by more than 10 percent, while retaining authorities under Resolution 20-0092.
C) Adopt a Resolution Authorizing Adjustment to the Board Adopted Budget for Fiscal Year 2020-2021 for the Penngrove Sanitation Zone Construction Fund in the amount of $17,502 for the Engineering and Design Services for Structural and Seismic Platform Design for Penngrove Lift Station Flood Resiliency Project.

Executive Summary:
In support of Sonoma County Water Agency’s (Sonoma Water) Penngrove Lift Station Flood Resiliency Project (Project), engineering design of the equipment platform and generator pad is necessary to protect the electrical equipment, staff, and prevent sanitary sewer overflows (SSO) at the Penngrove lift station. The purpose of this amended agreement is to increase the agreement amount for a wet well roof assessment, modification of platform and equipment pad support piles and materials of construction, and development of conformed Project drawings.
Discussion:
HISTORY OF ITEM/BACKGROUND
At least four flood events since 2008 that resulted in SSOs have required emergency measures to protect the electrical equipment and staff at the Penngrove lift station. Most recently, on January 8, 2017, a major flood event occurred in the proximity of Ely Road in Penngrove California, which threatened to inundate the electrical equipment at the lift station. Because of this, Sonoma Water was forced to shut down the Penngrove lift station to avoid electrical failure. This result of this shutdown was significant SSOs and heightened concerns over system reliability and environmental impacts.
The Project, which intends to mitigate flooding concerns, also includes engineering design of the Penngrove lift station outdoor equipment platform and generator pad (Design Agreement). The platform, which is raised approximately five feet above grade, will house a generator and several electrical panels. To reduce the vibration effects of the generator on the other equipment and platform, the generator will be supported on a separate platform.
On October 16, 2018, the Federal Emergency Management Agency (FEMA) approved Sonoma Water’s 2018 Local Hazard Mitigation Plan (Plan). Sonoma Water updates this Plan as required by FEMA on a five-year recurring schedule. The Plan identified the Project as one of several mitigation projects that could be implemented to reduce the risk of damage to or failure of the lift station and sanitation system during flood events.
In 2017, Sonoma Water applied for grant funding through the FEMA Hazard Mitigation Grant Program to flood proof the lift station, and in August 2017 Sonoma Water was notified of award. FEMA initially obligated $350,266 in federal share, and in March of 2020 FEMA obligated an additional $305,920, bringing the total federal share to $656,186.
Sonoma Water pursued and was awarded FEMA funding which will offset some of the costs associated with the Project.
Sonoma Water and Beyaz & Patel, Inc. (Consultant) first entered into the Design Agreement for engineering and design services for structural and seismic platform design for the Project, dated April 22, 2019, in the amount of $48,039. As the design developed, Sonoma Water required the following changes to the initial design: The support piles for the platform and engine-generator pad would need to be larger in diameter and depth; the access platform would need to be aluminum, not galvanized steel, to withstand the outdoor corrosive environment; the wet well would need be analyzed and accommodated to withstand being driven across by excessively heavy pier drilling equipment; and addenda during bidding required preparation of conformed drawings. The additional funds and time will allow the structural consultants to provide support through the construction phase.
SELECTION PROCESS
On December 19, 2018, Sonoma Water issued a Request for Statements of Qualifications to the following 14 firms:

The Request for Statements of Qualifications was also posted on the Sonoma County Water Agency and County of Sonoma Purchasing Department websites, as well as the Small Business Administration and Minority Business Development Agency websites.
The six firms listed below submitted Statements of Qualifications.

The following criteria were used to evaluate each firm:
1) Thoroughness of SOQ
2) Professional qualifications and demonstrated ability to perform the work
3) Exceptions to standard terms in the sample agreement
Consultant was selected to perform the work because Consultant scored highest in Sonoma Water's evaluation, has experience with designing platforms, and prepared a thorough response to the solicitation that exhibited competence and interest in the Project.
SERVICES TO BE PERFORMED
Under the proposed amended agreement, Consultant will continue the work under the agreement as well as perform a wet well roof assessment, modify platform and equipment pad support piles and materials of construction, and develop conformed Project drawings.
The additional cost is $17,502, for a new not-to-exceed agreement total of $65,541. The new end date is August 31, 2022.
The amended agreement includes two options for Sonoma Water to extend this agreement for a period of one year each by providing written notice to Consultant thirty days in advance of the expiration date of the agreement and of the first extension option.
Prior Board Actions:
02/09/2021: Adopted and approved Project Manual and Drawings (“plans and specifications”) entitled "Penngrove Lift Station Flood Resiliency Project”. Authorized the Chair to execute the contract with Valentine Corporation for $ 819,369 for construction of the Penngrove Lift Station Resiliency Project, and delegated authority to the General Manager of Sonoma County Water Agency to execute Agreement and Release of Any and All Claims, if required.
