Authorize Sonoma County Water Agency’s General Manager acting on behalf of Sonoma County Water Agency, Occidental County Sanitation District, Russian River County Sanitation District, Sonoma Valley County Sanitation District, and South Park County Sanitation District to execute the First Amended and Restated Agreement for As-Needed Electrical Equipment Services with Vincent Pearce Sigal dba Vince Sigal Electric, Inc., in substantially the form presented to this Board. The amended agreement increases the amount by $500,000, expands the scope of work to include corrective maintenance and critical repair work, and extends the agreement term by one year for a new not-to-exceed agreement total of $900,000 and end date of June 30, 2030.

Executive Summary:
Sonoma County Water Agency and its affiliated sanitation districts and zones (“Sonoma Water”) require as-needed electrical equipment maintenance services relating to Sonoma Water’s power-generating, wastewater treatment, groundwater, stream and flood water monitoring, and potable water production and treatment facilities and miscellaneous buildings. The current agreement ends June 30, 2029. Funds under the current agreement have been fully expended due to a large backlog of needed inspections and deferred maintenance. That backlog has now been addressed and Sonoma Water anticipates spending $75,000 to $100,000 per year for the next five years. This First Amended Agreement expands the scope of work to include additional corrective maintenance and critical repair work identified during inspections conducted under the original agreement.

HISTORY OF ITEM/BACKGROUND
Sonoma Water operates and manages Occidental County Sanitation District, Russian River County Sanitation District, Sonoma Valley County Sanitation District, and South Park County Sanitation District (“Districts”) under contract with Districts. References to District employees are understood to be Sonoma County Water Agency employees acting on behalf of Districts.
Sonoma County Water Agency owns, operates, and manages Geyserville Sanitation Zone, Penngrove Sanitation Zone, and Sea Ranch Sanitation Zone (“Zones”). Sonoma County Water Agency owns Airport/Larkfield/Wikiup Sanitation Zone. Town of Windsor operates and manages Airport/Larkfield/Wikiup Sanitation Zone under contract with Sonoma County Water Agency.
Sonoma Water requires as-needed maintenance of the electrical equipment at its facilities. This work includes, but is not limited to, maintaining, repairing, inspecting, installing, and testing electrical equipment. Electrical work is highly specialized and requires a great deal of expertise, therefore, Sonoma Water requires a service provider to perform these services.
This First Amended Agreement expands the scope of work to include corrective maintenance and critical repair work identified during inspections conducted under the original agreement. Inspections identified work needed on the 12,000-volt electrical infrastructure at Wohler and Mirabel pumping facilities. Corrective maintenance to substations, transformers, and generator switchgear is also required at Wohler, Mirabel, booster pump stations, and wastewater treatment facilities.
Sonoma Water and Vincent Pearce Sigal dba Vince Sigal Electric, Inc., (Service Provider) entered into an agreement for as-needed electrical equipment services dated July 1, 2024, in the amount of $400,000. This agreement was in force until depletion of the not-to-exceed amount, or June 30, 2029, whichever occurred first. Since execution of the original agreement, Sonoma Water has nearly exhausted the available funds. This high level of spending during the first year was primarily due to a significant backlog of needed inspections and deferred maintenance. With that backlog now addressed, annual expenditures for the remainder of the amended Agreement are projected to be approximately $75,000 to $100,000 through June 30, 2030. An additional $500,000 will provide sufficient funding for these anticipated costs, as well as a contingency to address unexpected corrective maintenance needs.
SELECTION PROCESS
Service Provider was selected from a list of qualified consultants developed from a competitive selection process. Attached is a memo that explains the competitive selection process.
Service Provider was selected for the subject work because Service Provider is a local company with specialized equipment, staff, and ability to respond quickly to Sonoma Water’s needs in case of an emergency.
SERVICES TO BE PERFORMED
Under the amended agreement, Service Provider will perform service, repair, inspection, maintenance, and installation of Sonoma Water’s electrical equipment, including low- and medium-voltage switchgears, transformers, appurtenances, and related items.
Amending this agreement is necessary to provide funding to perform unanticipated corrective maintenance and critical repair work identified during inspections conducted under the original agreement.
The additional cost is $500,000, for a new not-to-exceed agreement total of $900,000. The new end date is June 30, 2030.

Narrative Explanation of Fiscal Impacts:
Budgeted amount of $200,000 is available from FY 2025/2026 appropriations for the Water Transmission Fund; for the Occidental, Russian River, and Sonoma Valley County Sanitation Districts’ Operations Funds; and for the Geyserville, Penngrove, and Sea Ranch Sanitation Zones’ Operations Funds. The actual expenditure will vary per fund due to the condition of electrical equipment at each facility pending inspections and testing. The revenue source for the Water Transmission Fund is water rates and for the Districts and Zones is rate-payer annual sewer service charges. Future fiscal year appropriations will be budgeted in those years.
