A) Adopt Resolution agreeing to comply with all conditions and requirements set forth in the Master Agreement for state-funded transit projects.
B) Authorize the Director of Transportation and Public Works to execute the Master Agreement, Program Supplements, and any amendments and other necessary documents related thereto with the California Department of Transportation, in form approved by County Counsel and contingent on availability of sufficient funds should any County funding obligation be required, for any related Program Supplement or project-related agreement.

Executive Summary:
The Department of Transportation and Public Works, Transit Division (Transit), is requesting adoption of a Resolution authorizing the Director of Transportation and Public Works to execute a master agreement that is necessary to receive funding from the California Department of Transportation for certain transit projects.
Discussion:
The California Department of Transportation utilizes master agreements for state-funded transit projects, along with associated program supplements and fund transfer agreements, for the purpose of administering and reimbursing state transit funds to local agencies. The statutes related to state-funded transit projects require a local implementing agency to execute an agreement with the California Department of Transportation before it can be reimbursed for project expenditures. The master agreement with the California Department of Transportation for state-funded transit projects was previously executed in 2012.
The Master Agreement is a 10-year umbrella agreement that enables local agencies to enter into grant agreements for State transit funds administered by the California Department of Transportation. Should Transit in the future apply for funding through one of the state-funded transit programs, the California Department of Transportation would require a master agreement be in place between it and the County. Approval of a new master agreement is recommended to allow eligibility for state funding for another 10-year period, through August 2032.
Staff has reviewed the Master Agreement and has concluded that the terms and conditions are acceptable and feasible and recommends the Master Agreement be approved.
