Executive Summary:

Sonoma County Public Infrastructure (SPI) is requesting that the Board of Supervisors approve and authorize the Director of SPI to execute Third Amendments to five of the existing On-Call Engineering Design Services 2021 Agreements. The amendments provide time extensions only, with no increase to the previously approved, not-to-exceed amounts. The proposed amendments will allow for completion of work initiated during the original contract period.

 

Discussion:

On July 13, 2021, the Board approved 16 master agreements for On-Call Engineering Design Services. The not-to-exceed value of each agreement was $3,000,000, for a term of three years with the option for up to two 1-year extensions. These on-call agreements were established to increase SPI’s capacity to move forward with disaster recovery projects as well as deliver additional infrastructure improvements in a timely manner.

In July 2024, the Director of SPI executed 1-year no-cost First Amendments, as authorized by the Board on July 13, 2021, extending the term of the agreements to July 13, 2025.

In July 2025, the Director of SPI executed 1-year no-cost Second Amendments, as authorized by the Board on July 13, 2021, extending the term of the agreements to July 13, 2026.

SPI is proposing to further extend the term of five of these master agreements to allow completion of eight open task orders that require additional time. With the proposed extensions, significant capacity will still be available in the not-to-exceed value of all five agreements. No new task orders will be issued under these master agreements and instead will be issued under the 2025 On-Call Engineering Design Services Agreements approved by the Board on July 28, 2025.

The consultants, proposed extension terms, and remaining task order amounts are as follows:

                     Task Order 07 - Adobe & Petaluma Hill Intersection Design - Kimley Horn - $146,286.07 - 3-year extension

                     Task Order 08 - Forestville Improvements - BKF - $36,659.44 - 5-year extension

                     Task Order 10 - Storm Sites - BCA - $1,049,103.15 - 2-year extension

                     Task Order 11 - Penngrove Intersection Improvements - BKF - $572,452.44 - 5-year extension

                     Task Order 13 - Donald Gap - BKF - $830,840.96 - 5-year extension

                     Task Order 14 - SR-12 Pedestrian Crossing - GHD - $79,800.61 - 3-year extension

                     Task Order 15 - Airport Blvd and Laughlin Intersection - Kimley Horn - $467,988.93 - 3-year extension

                     Task Order 16 - Mirabel Widening - Mark Thomas - $604,226.34 - 5-year extension

 

If these no-cost time extensions are not approved, work on all eight projects would halt, resulting in substantial unrecoverable costs to procure new contracts.

Fiscal Summary

 

Narrative Explanation of Fiscal Impacts:

There are no direct fiscal impacts from this Board Item, as no additional task orders are being awarded. Appropriations associated with the existing task orders are included in the FY 2025-26 Road Fund Adopted Budget. Future expenses associated with the existing task orders will be included in subsequent Road Fund Recommended Budgets. The Road Fund derives its funding from a variety of sources including: the State Highway Users Tax, SB1, Federal and State Grants, as well as contributions from Sonoma County’s General Fund.
