A)                     Authorize the Sonoma County Public Infrastructure (SPI) Director to execute the proposed amendments to extend terms for the following license agreements and organizations:

i.                     American Red Cross, for storage of disaster emergency equipment and supplies at 480 Hood House Drive, Santa Rosa.  The proposed amendment would extend the term through June 30, 2028, and provide one, 2-year option to further extend the term through June 30, 2030;

ii.                     Geyserville Chamber of Commerce, for use of the Geyserville Park & Ride and Visitor Plaza property located at 21100 Geyserville Avenue, Geyserville. The proposed amendment would extend the term through November 1, 2030, and provide five, 1-year options to further extend the term through November 1, 2035.

B)                     Make findings as required by Government Code Section 26227 that the proposed agreement extensions and continued use of the subject properties are necessary to meet the social needs of the population of the County, and that the subject premises are not, and will not be needed for County purposes during the extended terms of the agreements.

Executive Summary:

This item seeks Board authorization for the SPI Director to execute amendments to extend the terms of license agreements for use of County property, with the American Red Cross and Geyserville Chamber of Commerce.

 

Discussion:

Public Infrastructure requests Board authority to renew the license agreements (“Agreements”) with the American Red Cross (“ARC”) and the Geyserville Chamber of Commerce (“Geyserville Chamber”), for use of County-owned facilities at the Los Guilicos campus where American Red Cross stores emergency/disaster supplies and materials in ARC-owned storage trailers; and the Park & Ride facility at 21100 Geyserville Avenue in Geyserville, where the Geyserville Chamber hosts local events for the community and visitors to the area.  Extensions are needed in order to allow these organizations to continue to use the premises as they have for years past.

 

American Red Cross (ARC).  Since June 2007, the American Red Cross has used the property at 470 Hood House Drive, comprised of approx. 3,600 sq. ft. of unimproved land, at the Los Guilicos campus, for placement of (4) ARC trailers, containing vital emergency and disaster-related supplies that are designated for use by Sonoma County.  The ARC trailers set up at this location provide the County with immediate access to emergency supplies in response to disaster events. The term of the ARC Agreement expired on June 30, 2025, and ARC is currently holding over month-to-month.  The following are the basic terms of the Agreement and proposed changes:

 

Premises:

480 Hood House Drive, Santa Rosa.  (Please see Attachment 3 - Map.)

Term:

The proposed Amendment will extend the term through June 30, 2028, and provide one, 2-year option to extend the term through June 30, 2030.  

Rent:

In consideration of the agreement, ARC provides the County with emergency equipment and supplies in the event of disasters and/or emergencies. 

 

Geyserville Chamber of Commerce (Chamber).  Since November 2010, the Geyserville Chamber of Commerce has used the Geyserville Plaza and Park & Ride facility, such as hosting various community events each year for the benefit of the Geyserville community and visitors to Sonoma County.  These events are held to promote local artists, farmers markets and businesses in the Geyserville area. The premises are used for visitor parking during Chamber events, and to display show cars for their annual car shows.   The term of the Agreement expires on November 1, 2025.  The following are the basic terms of the Agreement and proposed changes:

Premises:21100 Geyserville Avenue, Geyserville.  (Please see Attachment 4 - Site Plan and Map.)

 

Term:

The proposed Amendment will extend the term through November 1, 2030, and provide five, 1-year options to extend the term through November 1, 2035.

Rent:

In consideration of the Agreement, Geyserville Chamber provides special events for the community, which are open to the general public.    

Insurance:

Chamber and its subcontractors, agents and vendors shall maintain insurance as specified in the proposed Amendment.

 

Public Interest.  Government Code Section 26227 allows the board of supervisors to contract with and make real property available to other public agencies and nonprofits to operate those programs which the board of supervisors determines will serve public purposes.  Extension of the ARC agreement will ensure that vital emergency equipment and supplies are readily available for the County and the public in a forward-staged location. Extension of the Chamber agreement will facilitate needed parking in downtown Geyserville and community-benefiting public events for the betterment and enjoyment of residents and local businesses.  The County has no foreseeable need to use either of the premises for its own purposes during the extended terms.

American Red Cross:

12/15/20:  A) Authorized the General Services Director to execute amendment to extend term for the license agreement with American Red Cross; B) Authorized the General Services Director to execute future amendments and associated documents required for the operation of the Agreement, as reasonably requested by General Services staff, and in consultation with County Counsel, which are consistent with the terms of the original agreement and do not extend the term of the agreement; C) Made findings as required by Government Code Section 26227 that the proposed amendment with American Red Cross is necessary to meet the health and rehabilitation needs of the population of the County and that the County does not need the subject premises during the extended term of the agreement.

 

06/09/15:  A) Authorized the General Services Director to execute an amendment to extend the term of the agreement with the American Red Cross; B) Made findings that the property was not needed by the County and the agreement served a public purpose, pursuant to Government Code Section 26227. 

 

Geyserville Chamber of Commerce:

10/20/15:  Authorized the General Services Director to execute a first amendment to extend the term of the License Agreement; and to execute future amendments and other documents, as reasonably requested by the Transportation & Public Works Department or the Real Estate Manager, and in consultation with the County Counsel, which are not inconsistent with the essential terms of the Agreement.

 

11/02/10:  Adopted a resolution, authorizing the General Services Director, or his Deputy, to execute a License Agreement with the Geyserville Chamber of Commerce for use of a portion of County property located at 21100 Geyserville Avenue, Geyserville, and commonly known as the Geyserville Visitor’s Plaza / Park & Ride.
