A) Authorize Sonoma County Water Agency’s General Manager acting on behalf of Sonoma County Water Agency, Occidental County Sanitation District, Russian River County Sanitation District, Sonoma Valley County Sanitation District, and South Park County Sanitation District, to execute an agreement with Vincent Pearce Sigal dba Vince Sigal Electric, Inc., in substantially the form as the draft presented to this Board, for as-needed electrical equipment services through June 30, 2029, in the not-to-exceed amount of $400,000.
B) Authorize Sonoma County Water Agency’s General Manager acting on behalf of Sonoma County Water Agency and Occidental County Sanitation District, Russian River County Sanitation District, Sonoma Valley County Sanitation District, and South Park County Sanitation District, to amend the agreement to extend the term, make modifications to the scope of work, and increase costs provided amendments do not cumulatively increase the total cost to Sonoma County Water Agency beyond $600,000.

HISTORY OF ITEM/BACKGROUND
Sonoma County Water Agency operates and manages Occidental County Sanitation District, Russian River County Sanitation District, Sonoma Valley County Sanitation District, and South Park County Sanitation District (Districts) under contract with Districts. References to District employees are understood to be Sonoma County Water Agency employees acting on behalf of Districts.
Sonoma County Water Agency owns, operates, and manages Airport/Larkfield/Wikiup Sanitation Zone, Geyserville Sanitation Zone, Penngrove Sanitation Zone, and Sea Ranch Sanitation Zone (Zones).
Sonoma Water requires as-needed maintenance of the electrical equipment at its facilities. This work includes, but is not limited to, maintaining, repairing, inspecting, installing, and testing electrical equipment. Electrical work is highly specialized and requires a great deal of expertise. Sonoma Water employees do not have the expertise or equipment to do the work and therefore require a service provider to perform these services.
SELECTION PROCESS
Vincent Pearce Sigal dba Vince Sigal Electric, Inc. (Service Provider) was selected from a list of qualified consultants developed from a competitive selection process. Attached is a memo that explains the competitive selection process.
Service Provider was selected for the subject work because Service Provider is a local company with specialized equipment, staff, and ability to respond quickly to Sonoma Water’s needs in case of an emergency.
Sonoma Water may seek to amend or enter into subsequent agreement(s) with Board approval if required, relying upon this competitive selection process, after the preliminary or initial work is completed.
SERVICES TO BE PERFORMED
Under the agreement, Service Provider will perform service, repair, inspection, maintenance, and installation of Sonoma Water’s electrical equipment including low and medium voltage switchgears, transformers, appurtenances, and related items.
The cost of services will not exceed $400,000; the term end date is June 30, 2029.
The agreement includes authorization for the General Manager to make changes to lengthen time schedules or make minor modifications to the scope of work, which do not increase the amount paid under the agreement, in a form approved by County Counsel.
Under the agreement, the General Manager shall have the ability to extend the term of the agreement for two additional years and increase costs provided amendments do not cumulatively increase the total cost to Sonoma County Water Agency or County Sanitation Districts beyond $600,000 by providing written notice to the other party thirty days in advance of the expiration date. The extension shall be formalized in an amended agreement or amendment signed by the parties.

Narrative Explanation of Fiscal Impacts:
Budgeted amount of $400,000 is available from FY 2024-2025 appropriations for the Water Transmission Fund, for the Occidental, Russian River, and Sonoma Valley County Sanitation Districts’ Operations Funds, and for the Geyserville, Penngrove, and Sea Ranch Sanitation Zones’ Operations Funds. The actual expenditure will vary per fund, due to the condition of electrical equipment at each facility pending inspections and testing. The revenue source for the Water Transmission Fund is water rates and for the Districts and Zones is rate-payer annual sewer service charges. No additional appropriations are required.
