A) Authorize Sonoma County Water Agency’s General Manager to execute an agreement with Carollo Engineers, Inc., in substantially the form as the draft presented to this Board, for engineering design services of the Water Treatment System Modernization - Compliance Locations Project through December 31, 2028, in the not-to-exceed amount of $750,000.
B) Delegate authority to Sonoma County Water Agency’s General Manager to negotiate and execute agreements to acquire the property rights needed for construction of the Water Treatment System Modernization - Compliance Locations Project, estimated at no more than $100,000, in a form approved by County Counsel, and to execute such other documents and take other actions as necessary to complete the transactions.
C) Authorize Sonoma County Water Agency’s General Manager to offer property owners up to $5,000 each for an independent appraisal pursuant to California Code of Civil Procedure section 1263.025.

Executive Summary:
Sonoma County Water Agency (Sonoma Water) owns chlorine gas water disinfection facilities that are 40 to 65 years old and in need of upgrades to improve system functionality, expandability, safety, reliability, and resiliency. This item requests authority to execute a professional services agreement for the design of two water quality compliance point locations on the Cotati and Santa Rosa Aqueducts. Work under this agreement will provide engineering and design necessary to construct the Water Treatment System Modernization - Compliance Locations Project (Project), which will reduce chemical application rates and improve regulatory reporting. This item also requests authority for Sonoma Water to carry out property rights acquisition, which is necessary for the Project.
Discussion:
HISTORY OF ITEM/BACKGROUND
Sonoma Water supplies potable water from the Mirabel and Wohler Water Production Facilities (WPFs). Currently, chlorine gas facilities at the WPFs are used to add chlorine to extracted water for primary and residual disinfection. A nearby corrosion control facility provides a backup chlorine gas application site downstream of the Mirabel WPF. These facilities are essential to deliver reliable drinking water to 600,000 residents in Sonoma and Marin counties, in accordance with state and federal regulations for safe drinking water.
A Basis of Design Report (BODR) was completed in October 2024, which recommended improvements to the chlorination and corrosion control facilities and a revised chemical dosing and sampling approach. The BODR recommended a compliance point at Forestville Booster Pump Station and Shone Farm to increase monitored chlorine contact time, reduce chemical application rates, and streamline regulatory reporting.
To complete the Project, Sonoma Water will need to acquire property rights from two affected property owners. As such, Sonoma Water is requesting the Board delegate authority to the General Manager to negotiate and execute agreements to acquire the necessary property rights, at a price no greater than necessary to provide just compensation to the property owner for the property interest, in a form approved by County Counsel, and to execute any other documents and take other actions as are necessary to close the transactions. Sonoma Water estimates a cost of no more than $100,000 to obtain temporary and permanent property rights for the Project.
Pursuant to California Code of Civil Procedure section 1263.025, when seeking to acquire the needed property rights, Sonoma Water is required to offer to reimburse each property owner the reasonable cost, up to $5,000, for an independent appraisal of the property rights needed. This item requests authority to make this offer to property owners as required by the Civil Code.
California Environmental Quality Act
Sonoma Water’s acquisition of property rights is exempt from CEQA pursuant to Section 15004 (b)(2)(A), that states that agencies “may enter into land acquisition agreements when the agency has conditioned the agency’s future use of the site on CEQA compliance.” Further development of the property would be subject to future environmental review pursuant to CEQA.
SELECTION PROCESS
Carollo Engineers, Inc. (Consultant) was selected from a list of qualified consultants developed from a competitive selection process. Attached is a memo that explains the competitive selection process.
Consultant was selected for the subject work because of its experience with design and related services of similar water treatment systems at different water production facilities.
Sonoma Water may seek to amend or enter into subsequent agreement(s) with Board approval if required, relying upon this competitive selection process, after the preliminary or initial work is completed for the Project.
SERVICES TO BE PERFORMED
Under the agreement, Consultant will provide engineering and design services for the Project at Shone Farm and Forestville Booster Station, including, but not limited to, design, drafting, preparation of specifications, furnishing design and bid documents, and assistance during bidding and construction.
The cost of services will not exceed $750,00; the term end date is December 31, 2028.
Under the agreement, the General Manager shall have the ability to extend the term of the agreement for up to two additional years by providing written notice to the other party thirty days in advance of the expiration date. The extension shall be formalized in an amended agreement or amendment signed by the parties.
