Executive Summary:

Sonoma County Public Infrastructure’s Airport Division is requesting the Board adopt a Resolution declaring its intent to purchase real property located at 1640 Sanders Road, Windsor, and authorize publication of the required Notice of Intent to Purchase. Following the required public notice period, staff will return to the Board for final consideration of the acquisition and authorization to execute the Purchase and Sale Agreement in the amount of $700,000 and related documents.

Discussion:

The property owner of 1640 Sanders Road, Windsor, has independently listed their property for sale, creating an opportunity for the Airport to pursue acquisition of the property through a voluntary, willing-seller transaction. The property is adjacent to Airport property and is identified in the Board-approved Runway Approach Protection Plan, a mitigation measure from the Environmental Impact Report that supported the adoption of the Airport Transportation Element of the General Plan and approval of the Airport Master Plan for future voluntary acquisition in support of runway approach protection and compatible land use objectives.

The Airport pursued the proposed acquisition in accordance with applicable Federal Aviation Administration (FAA) and Uniform Act requirements for voluntary acquisitions. The property owner was provided with written notice that the acquisition was voluntary, and that the County would not pursue eminent domain or condemnation if negotiations did not result in a mutually acceptable agreement. An independent appraisal and appraisal review established a fair market value of $700,000, and the seller has agreed to a purchase price of $700,000, subject to Board approval of the acquisition at such price and on certain conditions.

The property is vacant and unoccupied, and the proposed acquisition will not result in displacement or require relocation assistance. Staff has completed property due diligence, including review of title and other matters relevant to the acquisition, although a Phase 1 environmental report is currently underway and will be completed prior to finalization of the sale.

This acquisition is exempt from CEQA on the basis that it does not have the potential for causing a significant effect on the environment, and thus is subject to the “common sense” exemption pursuant to California Code of Regulations, Title 14, Section 15061(b)(3).

California Government Code Sections 25350 and 6063 require that a notice of the Board of Supervisors intention to enter into an agreement for the purchase real property exceeding $50,000  be published once a week for three successive weeks with five days intervening between publication dates in a newspaper of general circulation.

Staff recommends that the Board adopt the proposed Resolution declaring its intent to purchase the property and authorize publication of the Notice of Intent to Purchase. Following Board approval, the County will publish the required notice. After the applicable public notice period, staff will return to the Board for final approval of the acquisition and authorization to execute the Purchase and Sale Agreement and other documents necessary to complete the transaction.

The Airport intends to initially fund the acquisition with available Airport funds and seek reimbursement of eligible acquisition costs through the FAA Passenger Facility Charge (PFC) program.

Narrative Explanation of Fiscal Impacts:

There are no direct fiscal impacts associated with adoption of the Resolution of Intent and publication of the Notice of Intent to Purchase. If the Board subsequently approves the acquisition, additional appropriations of $725,000 will be required in the FY 2026-27 Airport Capital Improvements budget (41301 / 34030104). The appropriations will be used to fund the proposed $700,000 purchase price and $25,000 in associated closing costs. Initially, the Airport will use available fund balance for the acquisition, however, the Airport will seek reimbursement of eligible acquisition costs through the Federal Aviation Administration Passenger Facility Charge (PFC) program.
