Authorize the Chair of the Sonoma County Water Agency Board of Directors to execute a Second Amendment to the Personal Services Agreement with Grant Davis as Water Agency General Manager, extending the term of the agreement from January 25, 2024, to January 25, 2027, maintaining the current salary at the “I” step in the position’s salary range, including other County benefits and compensation as provided in Salary Resolution 95-0926.

Executive Summary:
The salary and benefits provided to County department and agency heads must be considered by the Board of Supervisors/Directors at a regularly scheduled Board meeting. Further, an oral summary of the recommended action to be taken on the salary and benefits must be presented at the meeting where the final Board action is taken. (California Government code §54953, 54956).
This action will authorize a Second Amendment to the Personal Services Agreement between Grant Davis and the Sonoma County Water Agency Board of Directors. Mr. Davis served as the Water Agency General Manager from March 2011 through July 2017, and was re-appointed to the position on January 23, 2018, for a three-year term from January 24, 2018, through January 24, 2021. The agreement was then extended from January 25, 2021, to January 25, 2024.
The recommended action extends the term of the current agreement for an additional three years, through January 25, 2027, and maintains his current level of pay at the “I” step of the position’s salary range and eligibility for other County benefits in accordance with Salary Resolution 95-0926.
Discussion:
The Sonoma County Water Agency (Sonoma Water) is a special district that was founded in 1949. The Agency is responsible for providing domestic drinking water supply and delivery to more than 600,000 residents of Sonoma and Marin Counties through contractors and customers; designing, constructing, and maintaining flood protection facilities, and providing flood protection and stream maintenance for more than 75 miles of creeks and waterways; and operating and maintaining eight wastewater collection, treatment, and/or reuse systems, which provide wastewater collection and treatment services to more than 22,000 residences and businesses throughout the county. The Agency is governed by a Board of Directors comprised of the same five members as the Sonoma County Board of Supervisors.
Sonoma Water’s General Manager reports to the Board of Directors and is responsible for planning, organizing, directing, and coordinating all activities of the Agency, including those related to its three key functions: 1) Water Supply and Transmission, 2) Flood Protection, and 3) Wastewater Collection, Treatment, and Reuse. Sonoma Water has an annual budget of approximately $306 million dollars and a staffing complement of 261 full-time equivalent positions.
Following a nationwide recruitment, Mr. Davis was initially appointed to the General Manager position for a three-year term, from March 1, 2011 through March 1, 2015 and served in the position through January 2017. Mr. Davis was re-appointed to the position on January 24, 2018, for a three-year term ending on January 24, 2021, which was since extended through January 25, 2024. The Second Amendment to the Personal Services Agreement maintains the salary at the “I” Step of the salary range, which is $329,055.38 annually, with all other benefits and compensation as prescribed in the County’s Salary Resolution 95-0926.

There is no anticipated fiscal impact to the Sonoma County Water Agency’s budget for approving the recommended action. The salary and benefit costs of the General Manager are already programmed within the departmental budget.
