A) Authorize the Director of Health Services, or designee, to extend the end date of previously approved interim agreement with Michelle Patino dba DEMA Consulting & Management for continued site management and security services at current shelter sites (Mickey Zane Place and the Emergency Shelter Site at the County Campus) for an additional two months, covering services from February 1, 2024, to March 31, 2024 at an additional $1,168,422, for a total not to exceed amount of $2,235,148.
B) Adopt a resolution authorizing budgetary adjustments to the fiscal year 2023-2024 adopted budget, increasing appropriations in the amount of $1,168,422 to reflect revenue and expenditures supporting operations at these two (2) interim sites for the period February 1, 2024, through March 31, 2024. (4/5ths Vote Required)

Executive Summary:
The Sonoma County Department of Health Services (hereinafter, “DHS” or “the Department”) is requesting authority for the Health Services Department Director, or designee, to extend by one (1) month the interim agreement with Michelle Patino dba DEMA Consulting & Management, which provides homeless shelter services given the County Administrator notified DHS leadership that the agreed upon procedures (AUP) audit of this provider is now estimated to be completed within the first part of February. Additionally, the extension requires a budgetary adjustment of $1,168,422 to cover the extended term of the agreement which is proposed to be financed with Intergovernmental Transfer (IGT) fund balance. The estimated fund balance on June 30, 2024, after this extended obligation is estimated to be $1,501,466.
Discussion:
Over the last few years, the Department of Health Services contracted with various service providers as part of the COVID-19 pandemic response and the emergency response to the County’s unsheltered population. All contracts were renewed within the Department’s authority to maintain uninterrupted service to the County’s unsheltered and most vulnerable populations. In 2023, the Department conducted several formal solicitations per Sonoma County Purchasing requirements including a final award for interim housing site management services which, has yet to be concluded.
A formal Request for Proposals (RFP) for interim housing site management including security and medical services was released on August 8, 2023. A virtual, non-mandatory informational pre-bid conference was conducted on August 17, 2023. Formal questions from interested parties were received on August 24, 2023, with the Department responding in a formal addendum on August 31, 2023. Four (4) proposals were received by the September 14, 2023, deadline.
However, the County Administrator informed DHS leadership that the Auditor-Controller-Treasurer-Tax Collector (ACTTC) lead agreed upon procedures (AUP) audit of DEMA contract billings and the final budget comparison of the proposals received are not complete; therefore, the Department is requesting an extension to the current approved interim agreement with Michelle Patino dba DEMA Consulting & Management to provide uninterrupted services to sites while the due diligence process is completed.
The ACTTC anticipates the AUP audit report will be issued within the first half of February.

Narrative Explanation of Fiscal Impacts:
The Department is requesting additional appropriations in the amount of $1,168,422 for Fiscal Year 2023-2024. The funding will use Intergovernmental Transfer (IGT) fund balance, whose estimated fund balance on June 30, 2024, after this obligation will be $1,501,466. IGT is a revenue source that is a reimbursement to the County for services rendered to persons who are Medi-Cal eligible, but not covered by other reimbursements.
