A) Authorize Sonoma County Water Agency’s General Manager to execute an agreement with Inter-Fluve, Inc., for engineering and design services for Green Valley Creek Restoration Mitigation Project Phase I through December 31, 2024 in the not-to-exceed amount of $810,000.
B) In addition to the authorities granted under Resolution 20-0092, authorize Sonoma County Water Agency’s General Manager to amend the agreement to extend the term, make modifications to the scope of work, and increase costs provided amendments do not cumulatively increase the total cost to Sonoma County Water Agency by more than 10 percent.
C) Adopt a Resolution Authorizing Adjustments to the Board Adopted Budget for Fiscal Year 2020-2021 for the Flood Control Zone 5A Fund in the amount of $220,000 for Engineering and Design Services for Green Valley Creek Restoration Mitigation Project, Phase I.

Executive Summary:
The Green Valley Creek Restoration Mitigation Project (Project) site is located on Green Valley Creek upstream of the confluence with Atascadero Creek, approximately one mile northwest of Graton, California, in a reach that is subject to frequent and extensive sediment deposition and flooding. Work under the proposed agreement will prepare designs for modifying the channel of Green Valley Creek to reduce chronic flooding incidents, reduce sediment removal and maintenance requirements, and improve habitat conditions. The designs will refine the Alternative 3 - Channel Re-establishment and Sediment Management concept described in the Green Valley Road Flood Mitigation Alternatives Draft Report by O’Conner Environmental, Inc. in 2016, and which was included in the Project’s Hazard Mitigation Grant Program application.
Costs for this agreement will be partially reimbursed by Sonoma County Department of Transportation and Public Works (TPW) through a $376,672 award from the Federal Emergency Management Agency’s (FEMA) Hazard Mitigation Grant Program.
Discussion:
HISTORY OF ITEM/BACKGROUND
TPW and Sonoma County Water Agency (Sonoma Water) have partnered to design and implement the restoration and flood resiliency Project on Green Valley Creek.
The Project site is located on Green Valley Creek upstream of the confluence with Atascadero Creek, approximately one mile northwest of Graton, California, in a reach that is subject to frequent and extensive sediment deposition and flooding. The activity area includes approximately 3,850 linear feet of Green Valley Creek, extending roughly 2,750 linear feet north and 1,100 linear feet south of the Green Valley Road bridge.
In November 2017, TPW and Sonoma Water submitted an application under FEMA’s Hazard Mitigation Grant Program to design and construct the Project. In December 2019, TPW was notified that $376,672 in federal funds were awarded to complete the design, permitting, and environmental tasks of the Project (Phase 1). Local cost share of $770,549, including costs for this Engineering and Design Services agreement and Sonoma Water staff costs, will be paid out of Sonoma Water’s Flood Control Zone 5A fund.
Upon completion of Phase 1 work and approval by FEMA, funds for Phase 2, Construction, may be awarded for the Project. The pending Phase 2 grant amount is $698,000 in federal funds, requiring a minimum $233,000 in local cost share.
SELECTION PROCESS
On June 10, 2020, Sonoma Water issued a Request for Proposals to the 28 firms in the attached list.
The Request for Proposals was also posted on Sonoma Water and County of Sonoma Purchasing Department websites as well as the Small Business Administration and Minority Business Development Agency websites.
The four firms listed below submitted proposals.
1) cbec, inc. eco engineering, Hood River, Oregon
2) Geosyntech Consultants, Inc., San Diego, California
3) Inter-Fluve, Inc., Hood River, Oregon
4) Sherwood Design Engineers, San Francisco, California
The following criteria, listed in order of importance, were used to evaluate each firm:
• Professional qualifications and demonstrated ability to perform the work
• Responsiveness to the work requirements
• Exceptions to standard terms in the sample agreement
• Thoroughness of proposal
Inter-Fluve, Inc. (Consultant) was selected to perform the work for the following reasons:
• Consultant’s proposal was scored highest.
• Consultant was responsive to the scope and project objectives and included additional scope elements that will likely be needed.
• The references that were contacted and responded provided positive feedback.
Sonoma Water may seek to amend or enter into subsequent agreement(s) with Board approval if required, relying upon this competitive selection process, after the preliminary or initial work is completed for the Project.
SERVICES TO BE PERFORMED
Under the proposed agreement, Consultant will provide engineering design services for the Project including, but not limited to:
1. Performing necessary background research, field studies, site investigations, and data collection.
2. Refining the Alternative 3 - Channel Re-establishment and Sediment Management concept included in the Green Valley Creek Restoration and Flood Resiliency Project Hazard Mitigation Grant Program application to address changed site conditions and maximize the cost/benefit ratio of the project alternatives, including schematic plan sheets, costs, and benefits.
3. Developing refined conceptual design plans, report, and cost estimates for the refined alternative.
4. Hydrologic, hydraulic, flood, and sediment transport modeling.
5. Developing preliminary through final engineering designs, cost estimates, and specifications for preferred alternative.
6. Supporting Sonoma Water with property owner and stakeholder discussions, negotiations, and meetings by providing technical documents and graphics, answering questions, and attending meetings.
7. Preparing environmental permit applications and California Environmental Quality Act (CEQA) documents, and coordinating with resource agency and CEQA public hearings by attending meetings, responding to questions, and providing technical documents and information.
The cost of services will not exceed $810,000; the term end date is December 31, 2024.
RELATED AGREEMENTS
There are two agreements between Sonoma Water and TPW related to the Project. A Cooperative Agreement for Phase I of the Green Valley Creek Restoration Mitigation Project sets the terms for how TPW (the Sub-Grantee) receives reimbursement payments directly from the California Office of Emergency Services (Grantee) and passes them through to Sonoma Water (the Implementing Agency). The Board approved authorization for the Cooperative Agreement on April 21, 2020. The second related agreement is the TPW-Sonoma Water cost share agreement, which will specify the terms for TPW to contribute funds for the construction and on-going maintenance of the Project. Sonoma Water and TPW staff will return to the Board in July with a joint action for the cost share agreement.
Prior Board Actions:
4/21/20: Authorized the acceptance of grant awards and the execution of grant agreements with FEMA’s Hazard Mitigation Grant Program (HMGP) for the TPW Green Valley Creek Restoration and Flood Resiliency Project - Phase 1.
4/21/20: Authorized the Director of Transportation and Public Works and the General Manager of the Sonoma County Water Agency to execute a cooperative agreement for work related to the FEMA-funded Green Valley Creek Restoration and Flood Resiliency Project.

Narrative Explanation of Fiscal Impacts:
Budgeted amount of $363,100 is available from FY 2020/2021 appropriations for the Flood Control Zone 5A fund ($300,000 for this Engineering and Design Services agreement and $63,100 for Sonoma Water staff costs). Additional appropriation is required for the services agreement in the amount of $220,000. A budgetary resolution has been submitted with this item.
Offsetting revenue in the amount of $376,672 ($191,452 in FY 2020/2021 and $185,220 in FY 2021/2022) will come from a FEMA Hazard Mitigation Grant to complete the design, permitting, and environmental tasks of the Project (Phase 1). Local cost share of $770,549, including costs for this Engineering and Design Services agreement and Sonoma Water staff costs, will come from Flood Control Zone 5A.
