A) Authorize the Director of Health Services, or designee, delegated authority to execute agreements and/or amendments, subject to review and approval as to form by County Counsel, as follows:
i) A First 5 Sonoma County Grant agreement for a total not-to-exceed amount of $15,000 through June 30, 2027.
ii) A first amendment with Amergis Holding, Inc. dba. Amergis Healthcare Staffing, Inc. to extend the term for the first one-year extension option, from July 1, 2023 through June 30, 2026 to a new term end date of June 30, 2027.
iii) An agreement with ImageTrend, LLC for Electronic Patient Care Reporting and data transfer to hospitals for a not-to-exceed amount of $518,775.97 and a term starting July 15, 2026 through June 30, 2031, and renewed annually thereafter unless canceled by either party, subject to review and approval by County Counsel.
iv) A Memorandum of Understanding (MOU) with The Regents of the University of California, San Francisco (UCSF), for the placement of physical therapy students in clinical field experience internships within the Department of Health Services for the term of January 1, 2026 through December 31, 2030.
B) Authorize the Director of Health Services, or designee, to execute modifications to the agreements associated with this Item in order to address changes in service needs, payment or reimbursement methodologies, subject to available funding as well as review and approval by County Counsel.
C) Adopt a Resolution authorizing budgetary adjustments to the fiscal year 2025-2026 adopted budget, increasing appropriations in the amount of $15,000 to support the Teen Parent Connections Program.

Executive Summary:
The Department of Health Services is requesting delegated authority for the Director of Health Services, or designee, to execute the following amendments for public health-related services:
• A revenue agreement with First 5 Sonoma County to support mental health of teen parents enrolled in the Teen Parent Connections program through peer-to-peer connection and exposure to the outdoors.
• A first amendment that does not change the dollar amount of the agreement with Amergis Holding, Inc. dba. Amergis Healthcare Staffing, Inc. for temporary clinical staffing agency services that support the Children’s Therapy Program, Medical Therapy Program.
• An agreement with ImageTrend, LLC for a subscription to their comprehensive data platform that supports critical EMS functions, including electronic patient care reporting, 911 communications integration, quality management, state reporting, provider credentialing, and disaster communications.
• A Memorandum of Understanding (MOU) with The Regents of the University of California, San Francisco (UCSF), for the placement of physical therapy students in clinical field experience internships.
The Department is also requesting the adoption of a Resolution authorizing budgetary adjustments in the 2025-2026 Fiscal Year to appropriate the revenues associated with the First 5 agreement.
Discussion:
The Department is seeking Board approval to execute four separate agreements and adoption of a budget resolution to provide authority to spend the revenues from one of those agreements.
First 5 Sonoma County

The Department of Health Services (DHS) seeks approval to enter into an agreement with First 5 Sonoma County to enhance mental health and resilience supports for teen parents participating in the Teen Parent Connections (TPC) program.
First 5 Sonoma County is providing $15,000 to the Teen Parent Connections program to expand programming that addresses mental health challenges and social isolation among pregnant and parenting teens through peer connection, outdoor engagement and staff training.
The Teen Parent Connections program serves approximately 100 pregnant and parenting teens, age 19 and under, and their children across Sonoma County. The program provides intensive, relationship-based support through one-on-one engagement in the home and trusted community settings. Services include health and parenting education, connection to community resources, and support to achieve educational and parenting goals.
Teen parents in Sonoma County face elevated risks of mental health challenges, including isolation, anxiety, and barriers to accessing supportive services. This funding will allow DHS to scale and strengthen programming specifically designed to improve mental health and overall well-being through increased social connection and engagement.
First 5 Sonoma County directly approached DHS Home Visiting programs to offer this funding opportunity; there was no competitive application process. First 5 Sonoma County prioritized this investment to support early childhood outcomes by strengthening the mental health and stability of teen parents. The Teen Parent Connections program was identified as a strong implementation partner due to its established home visiting model, existing relationships with approximately 100 teen parents annually, and its ability to effectively scale services for this high-need population.
Funds will support the following activities:
• Outdoor Peer Connection Events: Five events in partnership with Sonoma County Regional Parks to bring teen parents together in outdoor settings. Funding will support transportation, food, supplies, and park passes/incentives to reduce participation barriers. These supports are critical, as many participants face transportation challenges and may experience anxiety that limits engagement.
• Graduation and Academic Achievement Ceremonies: Two annual events to celebrate milestones and promote continued educational attainment. Funding will support transportation, food, supplies, and speaker costs, while fostering peer connection and motivation.
• Staff Training: At least one training or workshop to build TPC staff capacity to support the mental health needs of teen parents.
These activities are designed to increase resilience, reduce isolation, and improve engagement among teen parents who might not otherwise participate in services. Program outcomes will be tracked through participation metrics, surveys, and quarterly reporting.
Amergis Holding, Inc. dba. Amergis Healthcare Staffing, Inc. (Amergis)
Recommended Term: July 1, 2023 through June 30, 2027
On November 28, 2023, the Board authorized the current contract with Amergis for Temporary Clinical Staffing Agency Services, which was procured through a Request for Proposals (RFP). The contract runs through June 30, 2026. The RFP allowed for two additional one-year extensions upon mutual agreement by both parties. The Department is now exercising the first of these option years to maintain continuity of services while a new RFP process is developed and completed.
This contract supports the Department of Health Services, Public Health Division, by providing access to qualified temporary clinical staff to meet operational needs. Services are utilized to address staffing shortages, support surge capacity during public health emergencies, maintain continuity of essential clinical services, and fill critical vacancies during recruitment or employee leave. Positions supported through this agreement include, but are not limited to, nurses, medical assistants, and other licensed or credentialed clinical staff. This also includes Physical Therapists and Occupational Therapists supporting the Medical Therapy Program, which provides specialized services to children with qualifying medical conditions and requires consistent, licensed clinical staffing to maintain mandated service delivery.
The Department is requesting authority to exercise the first one-year extension option, extending the term through June 30, 2027 without changing the total amount of the contract to ensure sufficient capacity to meet anticipated service needs during the extension period.
ImageTrend, LLC
Recommended Term: July 15, 2026 through June 30, 2031 and renewed annually thereafter unless canceled by either party

California Health and Safety Code outlines the authority and responsibilities of the local emergency medical services agency. Local Emergency Medical Services (EMS) agencies are to “plan, implement, and evaluate an emergency medical services system consisting of an organized pattern of readiness and response services based on public and private agreements and operational procedures.” Health and Safety Code 1797.204.
Organized within the Sonoma County Department of Health Services (DHS), Coastal Valley Emergency Medical Services Agency (CVEMSA) is a regional EMS Agency serving both Sonoma and Mendocino Counties. CVEMSA operates under the statutory authority established in Division 2.5 of the California Health and Safety Code, Title 22, Division 9, of the California Code of Regulations.
CVEMSA maintains a contract with ImageTrend, LLC for Computer-Aided Dispatch software and database services and uses the data system to communicate with providers and collect data for analysis of performance. ImageTrend provides CVEMSA with a comprehensive data system that includes electronic patient care reporting and integrated data collection for quality management and state reporting, integration with 911 communications center and fire service reporting modules, and disaster patient distribution and bed polling tools. Provider credentialing and health care system disaster communications are also supported through the data system.
The ImageTrend platform was originally selected through a 2015 competitive procurement process. The ImageTrend program is well integrated into current EMS Agency and system partner operations. Partner agencies have made a substantial investment in training staff and incorporating the ImageTrend system into their operations.
In order to maintain this continuity, the current request to execute a new agreement will utilize the ImageTrend LLC Sourcewell Master Agreement #030425 which was award from the 2025 Sourcewell Request for Proposals for Public Safety Software, RFP #030425. Sourcewell is a self-funded government organization that acts as a cooperative purchasing program, offering pre-competitively solicited contracts to government, education, and nonprofit entities. By acting as a lead agency, it streamlines the procurement process, allowing members to bypass traditional bidding to purchase equipment and services, at discounted national rates. Sourcewell master agreements are pre-negotiated cooperative purchasing contracts that allow local government agencies to procure goods and services without going through a lengthy competitive bidding process. By leveraging these cooperative contracts, DHS can save time and administrative resources while still meeting public procurement requirements, since Sourcewell conducts the competitive solicitation on behalf of its members.
DHS is requesting authority to execute an agreement with ImageTrend, LLC for a not-to-exceed amount of $518,775.97 and a term of July 15, 2026 through June 30, 2031 and renewed annually thereafter unless canceled by either party, subject to review and approval by County Counsel.
The Regents of the University of California, San Francisco (UCSF)
Recommended Term: January 1, 2026 through December 31, 2031
The California Children’s Services (CCS) Medical Therapy Program connects Sonoma County’s medically vulnerable populations to essential healthcare services, ensuring continuity of care for individuals with complex health needs. The program supports Medi-Cal managed care requirements, public health case management standards, and local health equity initiatives, helping to reduce health disparities and improve outcomes for children with medical therapy needs.
This agreement establishes a structured partnership allowing UCSF physical therapy students to gain supervised clinical field experience at County facilities while supporting DHS programmatic capacity and workforce development efforts. The MOU outlines roles and responsibilities of both parties, including student supervision, compliance with accreditation standards, and adherence to applicable laws and regulations. The County has a long-standing interest in supporting workforce development and strengthening partnerships with academic institutions. This MOU formalizes an agreement with UCSF to provide clinical training opportunities for students enrolled in accredited physical therapy programs.
Under the agreement:
• DHS will provide supervised clinical placements, access to facilities, and evaluation of student performance.
• UCSF will designate qualified students, oversee educational objectives, and ensure compliance with academic and accreditation requirements.
• Students will participate in learning experiences aligned with program requirements and will not be considered County employees.
This is a no cost agreement and supports the County’s strategic priority to invest in workforce development by creating pathways for future healthcare professionals.
The MOU includes provisions related to liability, insurance, confidentiality and termination rights for both parties. The agreement includes mutual indemnification provisions pursuant to California Government Code Sections 895.2 and 895.4, under which each party assumes responsibility for claims arising from its own negligent acts or omissions. Due to County policy limitations on administrative approval of non-standard indemnification provisions, this agreement is being brought to the Board of Supervisors for approval.
Approval of this agreement will ensure continued collaboration with UCSF and support the delivery of high-quality clinical training opportunities within DHS programs.

This Board item requests authority to accept an award of $15,000 from First 5 for mental health and resilience supports for teen parents and approval for an agreement to continue using the FirstWatch system for a total award of $518,775.97. The combined fiscal impact will be a total of $533,778.97 ($15,000 for FY 2025-2026, $96,441.85 for FY 2026-2027, $99,958.18 FY 2027-2028, $103,611.94 for FY 2028-2029, $107,408.90 for FY 2029-2030, $111,355.10 for FY 2030-2031). Expenditures will be covered by revenue received from First 5 and Special Districts.
