B) Award the contract to Diablo Roofing, Inc. for $301,068.00 for construction of Sonoma Valley County Sanitation District Treatment Plant Roof Replacement (Administration and Maintenance Buildings) and authorize the Chair to execute the contract.
C) Authorize the General Manager of Sonoma County Water Agency [on behalf of Sonoma Valley County Sanitation District (District) acting on behalf of District] to sign Section 00 65 23 (Agreement and Release of Any and All Claims), with County Counsel review, if any unresolved claims are listed by the contractor.

Executive Summary:
This item requests approval of a contract with Diablo Roofing, Inc. for $301,068.00 for construction of Sonoma Valley County Sanitation District Treatment Plant Roof Replacement (Administration and Maintenance Buildings) Project, to remove and replace aged and deteriorated roofs on critical operations and maintenance buildings.
Discussion:
The Administration and Maintenance buildings at the Sonoma Valley Treatment Plant, located at 22675 8th Street East, Sonoma, California 95476, are critical facilities for the operation and maintenance of the treatment plant. Both roofs are aged and deteriorated, and leaks have been reported in both buildings during rain events.
The Project consists of removing the existing roof systems of the Administration and Maintenance Buildings and installing new membrane roof systems on each building. Bidding Documents contain the full description of the Work.
The engineer’s estimate was $281,200.00. The Project was advertised for bids on April 24, 2025.
On May 27, 2025, three bids were received per the attached Bid Summary. The lowest responsive and responsible bid is from Diablo Roofing, Inc. and is $19,868.00 above the Engineer’s Estimate. Diablo Roofing Inc. is experienced in this type of construction and meets the experience requirements.
A contractor must execute a release of claims (Section 00 65 23) before final payment but may except any unresolved claims from the release. The requested action authorizes the General Manager to approve the release unless the contractor lists unresolved claims. In that case, County Counsel must review Section 00 65 23 prior to General Manager approval.
Construction on the Project is scheduled to begin approximately September 1, 2025, with an estimated completion date of December 8, 2025.
California Environmental Quality Act
The General Manager has determined that the Project is categorically exempt from the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines Sections 15301(b), Existing Facilities, and 15302(c), Replacement or Reconstruction. The project will consist of the operation and repair of existing structures and facilities of publicly owned utilities involving negligible or no expansion of existing or former use. The project will replace and reconstruct existing structures and facilities where the new structure will be located on the same site as the structures replaced and will have substantially the same purpose and capacity as the structure replaced, including existing utility systems and/or facilities involving negligible or no expansion of capacity. Sonoma Water staff prepared a Notice of Exemption (NOE) for the project in accordance with CEQA, the State CEQA Guidelines and Sonoma Water’s Procedure for the Implementation of CEQA.
