Executive Summary:

The Director of Public Infrastructure, in consultation with the Human Services Department (HSD), requests authorization to publish a notice of the Board’s intent to execute a Third Amendment to a Lease with 3600 WESTWIND, LLC for Human Services Department (HSD) use of 25,672 square feet of office space at 3600 Westwind Boulevard.

If approved, the proposed amendment would extend the existing lease for five years from February 1, 2027, through January 31, 2032. The proposed initial monthly rent beginning February 1, 2027, is $48,776.80 ($1.90 per square foot) which represents a 9% reduction from the current rent. Rent would increase 3% per year for the remainder of the lease term, and the County would retain the right to terminate the lease, with or without cause, upon 180 days’ written notice. Public Infrastructure and HSD recommend approving Amendment as remaining at the site would avoid relocation costs and service disruptions.

 

Discussion:

The Human Services Department (HSD) has occupied 25,672 square feet of office space at 3600 Westwind Boulevard in Santa Rosa since 2005. The current  lease  expires January 31, 2027, and  in November 2025, HSD and  the Department of Public Infrastructure began negotiating an extension  with the Landlord (3600 WESTWIND, LLC ) to reduce rent as well as avoid relocation costs and service disruptions. Negotiations continued through July 2026, and resulted in the proposed Third Amendment.

Approval of the notice will allow the proposed amendment to return to the Board for consideration after the required publication period.

Lease Amendment. The proposed Third  Amendment between 3600 Westwind LLC, as Landlord, and the County of Sonoma, as Tenant, includes  the following key provisions:

1.                     Five-year lease extension from February 1, 2027, through January 31, 2032;

2.                     Initial monthly rent of $48,776.80 ($1.90 per square foot) a 9% reduction from the prior  year’s rent;

3.                     3% annual rent increases;

4.                     One five-year extension option,  from February 1, 2032, through January 31, 2037;

5.                     County responsibility  for utilities in addition to rent; and

6.                     All other lease terms remain unchanged, including the County’s right to terminate, with or without cause, upon  180 days written notice.

Procedural Authority. Government Code Section 25350 requires the County to publish notice of the Board’s intent to enter into a lease or lease amendment valued at more than $50,000 for three successive weeks prior to execution. If the  Board approves the recommended action, the proposed amendment  will return to the Board on or after October 6, 2026, for consideration and approval.

Narrative Explanation of Fiscal Impacts:

There is no fiscal impact associated with approving and authorizing publication of the notice of intent to execute the Third Amendment to Lease. This action only initiates the legally required notice period and does not authorize execution of the amendment or commit the County to additional expenditures.

The fiscal impacts of the proposed lease amendment will be presented when the item returns to the Board for consideration and approval.
