Executive Summary:
This item requests authority for Sonoma County Water Agency’s (Sonoma Water) General Manager to execute time extensions to existing water supply agreements with Marin Municipal Water District (MMWD). These extensions will provide time to consolidate the agreements into one document for ease of use and secure approval of changes to the agreements by the Water Advisory Committee as required by the Restructured Agreement for Water Supply.
Discussion:
On July 3, 1975, Sonoma Water and MMWD entered into an agreement entitled “Off-peak Water Supply Agreement,” which provides for Sonoma Water to deliver up to 4,300-acre feet of water per fiscal year, subject to specified terms and conditions, which Off-peak Water Supply Agreement was amended on August 28, 1984, on May 3, 1988, and on January 25, 1995.
On October 22, 1991, Sonoma Water and MMWD entered into an agreement entitled the “Agreement for Sale of Water between the Sonoma County Water Agency and the Marin Municipal Water District” for the delivery of up to 10,000-acre feet of water per fiscal year from Sonoma Water to MMWD, under prescribed terms and conditions.
On January 25, 1996, Sonoma Water and MMWD entered into the “Amended and Restated Water Supply Agreement by and between the Marin Municipal Water District and the Sonoma County Water Agency,” which amended and incorporated the “Third Off-peak Water Supply Agreement” and the “Amended Agreement for Sale of Water between the Sonoma County Water Agency and the Marin Municipal Water District” as exhibits thereto, which Amended and Restated Water Supply Agreement by and between the Marin Municipal Water District and the Sonoma County Water Agency was renewed and extended pursuant to the “Renewal of the Third Amended Off-peak Water Supply Agreement and the Amended Agreement for the Sale of Water between the Sonoma County Water Agency and Marin Municipal Water District” effective July 1, 2015, through June 30, 2025.
Sonoma Water and MMWD wish to extend the terms included in Exhibit A and Exhibit B to the Amended and Restated Water Supply Agreement by and between the Marin Municipal Water District and the Sonoma County Water Agency to allow time to consolidate the agreements into one document for ease of use and secure approval of changes to the agreements by the Water Advisory Committee as required by the Restructured Agreement for Water Supply.
A new agreement will be brought to the Board for approval at a subsequent Board meeting.

Extending the Fourth Amended Off-Peak Water Supply Agreement and Second Amended Agreement for the Sale of Water between the Sonoma County Water Agency and the Marin Municipal Water District authorizes Sonoma Water to continue to provide a critical water supply to MMWD while generating essential revenues needed to operate and maintain Sonoma Water’s water supply and transmission system infrastructure.
